1. Acceptance, Capacity, and Contract Formation

These Terms of Service ("Terms") constitute a legally binding agreement between you and Everbright Ventures LLC, doing business as Rohy AI ("Rohy AI," "we," "our," or "us"), governing your access to and use of the Rohy AI websites, mobile experiences, applications, APIs, hosted interfaces, content, and related services (collectively, the "Service"). By accessing or using the Service, you represent that you have the legal capacity to enter into this agreement and that you accept these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an entity, you represent and warrant that you are authorized to bind that entity, in which event "you" includes that entity. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility and Age Restrictions

The Service is not directed to children under 13. If you are under the age of majority in your jurisdiction but at least 13 years old, you may use the Service only with the permission and supervision of a parent or legal guardian and only where such use is lawful. You represent and warrant that all registration information you submit is truthful, current, and complete.

3. Nature of the Service

Rohy AI provides an AI-assisted journaling and self-reflection platform that may include conversational tools, uploads, persona features, mood or pattern analysis, summaries, insights, reminders, and other features we may make available from time to time. The Service is offered for informational, productivity, and reflective purposes only. It is not intended to diagnose, treat, cure, or prevent any disease or mental-health condition, nor is it a substitute for professional medical, psychiatric, psychological, legal, tax, financial, or emergency advice.

4. Role-Specific Responsibilities & Disclaimers

The Service facilitates data sharing between users and third-party providers. Your use of the clinical sharing features signifies acknowledgment of the following allocations of responsibility:

Psychiatrists: If you are a Psychiatrist using the Service, you acknowledge sole clinical responsibility for the diagnosis, treatment plan, and medication management of your patients. AI-generated clinical markers (e.g., PHQ-9, MDQ, GAD-7) are provided as supplementary data only and must be clinically validated through professional assessment.
Psychologists & Therapists: If you are a Psychologist or Therapist, you are responsible for the therapeutic integration of personality and emotional trends surfaced by the Service. We do not provide therapeutic intervention.
Guardians: If you are a parent or legal guardian monitoring a minor, you represent that you have the legal right to access the minor's data and assume full responsibility for the minor's safety and the interpretation of any mental health snapshots provided.
No Practitioner-Patient Relationship: The provision of the Service by Rohy AI does not create a physician-patient, therapist-patient, or any other professional relationship between you and Rohy AI.

5. No Crisis, Emergency, or Clinical Undertaking

The Service is not an emergency service and does not monitor users in real time for crisis events. We do not undertake any duty to review, escalate, rescue, warn, or intervene based on content you submit. If you may be in danger, experiencing suicidal ideation, facing abuse, or having a medical or mental-health emergency, call emergency services, contact 988 in the United States where appropriate, or seek immediate help from a licensed professional or local emergency responder.

5. AI Output Disclaimers

The Service uses probabilistic and generative systems that may produce content, classifications, summaries, or recommendations that are incomplete, inaccurate, biased, offensive, non-unique, or unsuitable for your circumstances. You are solely responsible for evaluating all output before relying on it. You must not rely on the Service for decisions involving health, safety, legal rights, employment, education, housing, credit, insurance, child welfare, or similarly consequential matters. To the fullest extent permitted by law, you assume all risk associated with reliance on AI-generated output.

6. Accounts and Security

You are responsible for all activity that occurs under your account, for maintaining the confidentiality of your credentials, and for promptly notifying us of suspected unauthorized use. We may suspend or restrict access where we believe an account has been compromised or is being used in violation of these Terms, law, or platform security requirements.

7. User Content and License

You retain whatever rights you may have in the text, files, recordings, prompts, submissions, and other materials you upload, submit, or otherwise make available through the Service ("User Content"). You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, analyze, transmit, display, and otherwise process User Content solely as necessary to operate, secure, improve, support, and provide the Service, enforce our rights, comply with law, and as otherwise described in our Privacy Policy.

You represent and warrant that you have all rights necessary to provide User Content and that your User Content and use of the Service do not violate law, infringe third-party rights, breach confidentiality obligations, or misappropriate protected information belonging to another person.

8. Acceptable Use Restrictions

You agree not to:

Use the Service in violation of law, regulation, court order, or third-party rights.
Upload malware, exploit vulnerabilities, probe security, circumvent authentication, or interfere with the Service or other users.
Use the Service to generate or disseminate unlawful, fraudulent, harassing, defamatory, infringing, exploitative, or abusive material.
Reverse engineer, decompile, scrape at scale, or use automated means to extract source code, prompts, models, or underlying components except as allowed by applicable law notwithstanding this restriction.
Use the Service in a manner that suggests we provide medical, therapeutic, legal, or other regulated professional services.
Input data you are not legally permitted to disclose or process through the Service.

9. Paid Plans, Billing, and Renewals

Paid features may require a subscription. By purchasing a plan, you authorize us and our payment processors to charge the applicable fees, taxes, and renewal charges using your selected payment method. Unless otherwise disclosed, subscriptions renew automatically for the same billing interval until cancelled. Pricing, included features, and usage limits may change prospectively upon reasonable notice. Except where required by law, fees are non-refundable.

10. Availability, Modifications, and Beta Features

We may add, remove, suspend, or modify features, integrations, models, quotas, or plan entitlements at any time. Some features may be labeled beta, preview, experimental, or similar, and such features may be more error-prone, unavailable, or subject to additional restrictions. We do not guarantee uninterrupted availability, data preservation, or compatibility with all devices, browsers, or third-party services.

11. Intellectual Property & Research Frameworks

The Service, including its proprietary "Personality Mapping Algorithms," "Clinical Response Logic," "High-Fidelity Mental Health Summaries," software, interfaces, branding, and research-validated frameworks, are the exclusive intellectual property of Rohy AI and Everbright Ventures LLC. This includes specifically the design and structural mapping of the 10+ research-backed personality models integrated into the Service.

No rights are granted to you except the limited, revocable right to use the Service in accordance with these Terms. You may not extract, scrape, copy, or redistribute our proprietary clinical metrics or algorithm outputs for commercial use without express written consent.

12. Third-Party Services

The Service may rely on or interoperate with third-party services, including hosting, payments, authentication, analytics, AI providers, mobile operating systems, app stores, browser vendors, and notification services. We are not responsible for third-party products or services, and your use of them may be governed by separate terms and privacy notices.

13. Suspension and Termination

We may suspend, limit, or terminate your access to the Service, without liability, if we reasonably determine that you have violated these Terms, created risk to the Service or others, failed to pay required fees, or if continued operation becomes commercially impracticable, unlawful, or unsafe. Upon termination, the rights granted to you under these Terms cease immediately, though provisions that by their nature should survive will survive, including ownership, disclaimers, liability limitations, indemnification, dispute resolution, and payment obligations accrued before termination.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING ALL OUTPUT, CONTENT, SOFTWARE, AND RELATED FEATURES, IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROHY AI, EVERBRIGHT VENTURES LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). CERTAIN JURISDICTIONS DO NOT ALLOW SOME LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

16. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Rohy AI, Everbright Ventures LLC, and their respective officers, directors, employees, affiliates, contractors, licensors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your User Content, your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

17. Dispute Resolution, Arbitration, and Class Waiver

Please read this section carefully. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will first be submitted to informal resolution by contacting support@rohy.ai. If the dispute is not resolved within 30 days after notice, either party may elect final and binding arbitration administered by the American Arbitration Association under its applicable rules. Arbitration will be conducted in English before a single arbitrator in Delaware, unless applicable consumer law requires another forum.

You and Rohy AI each waive the right to a jury trial and to participate in a class action, class arbitration, representative action, or private attorney general proceeding, to the maximum extent permitted by law. Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect rights pending arbitration.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent superseded by U.S. federal law or non-waivable consumer-protection law applicable in your jurisdiction.

19. Miscellaneous

These Terms constitute the entire agreement between you and Rohy AI regarding the Service and supersede prior or contemporaneous understandings relating to the same subject matter. If any provision is found unenforceable, the remaining provisions will remain in effect to the fullest extent possible. Our failure to enforce any provision is not a waiver. We may assign these Terms in connection with a corporate transaction or otherwise. You may not assign these Terms without our prior written consent. Electronic records and notices satisfy any writing requirement to the extent permitted by law.
